Net lease

# Net-lease (NNN) investing for 1031 buyers

A single-tenant net-lease property lets a 1031 buyer replace an active, management-heavy asset with a long lease where the tenant pays most operating costs. You are buying the tenant's credit and the lease term as much as the building, so price follows both.

By **Zach Roesinger**, Designated Broker, Roesinger LLCUpdated October 12, 2026[Share on LinkedIn](https://www.linkedin.com/sharing/share-offsite/?url=https%3A%2F%2Fwww.roesingercre.com%2Fresources%2Fnet-lease-investing-1031)[Post on X](https://twitter.com/intent/tweet?url=https%3A%2F%2Fwww.roesingercre.com%2Fresources%2Fnet-lease-investing-1031&text=Net-lease+%28NNN%29+investing+for+1031+buyers&via=LandmanZachATX)

**Short answer:** Net-lease investing means buying a building leased to one tenant who pays rent plus most or all property expenses (taxes, insurance, maintenance). For a 1031 buyer it offers a predictable replacement asset with little day-to-day management. Value is driven by tenant credit, years left on the lease, rent increases and the real estate underneath. The main risks are the tenant leaving, lease rollover and cap rates rising before you sell.

## NNN vs NN vs absolute net: who pays what

The label on a listing is shorthand. The lease itself decides who pays for what, so always read the expense and repair clauses rather than trusting the marketing flyer. For a broader comparison of lease structures, see our guide to NNN vs gross leases.

| Structure | Tenant typically pays | Landlord typically keeps | Owner workload |
| --- | --- | --- | --- |
| Absolute net (bondable) | Taxes, insurance, all maintenance, roof, structure, often rebuild after casualty | Little or nothing | Lowest |
| Triple net (NNN) | Taxes, insurance, common area and routine maintenance | Often roof, structure or parking lot replacement, depending on the lease | Low |
| Double net (NN) | Taxes and insurance; sometimes some repairs | Roof, structure, and often major systems | Moderate |

The difference matters most at the end of a lease. A roof replacement on a 40,000 SF building can wipe out a year or more of net income, so an NN deal priced like an absolute net deal is overpriced.

## What drives value in a single-tenant net-lease deal

### Tenant credit

An investment-grade tenant (rated by S&P or Moody's) or a large corporate guarantor lowers the risk of default and pushes cap rates down. A franchisee, a private company or a local operator carries more risk, so buyers ask for a higher yield. Confirm who actually signs the lease: a parent company guarantee is worth more than a lease signed by a thinly capitalized subsidiary.

### Remaining lease term

Term is the cushion between you and vacancy. Buyers pay a premium for 10 or more years remaining and discount sharply once a lease is inside five years, because the next owner has to underwrite renewal risk.

### Rent bumps

Flat leases lose value in real terms. Look for fixed increases (for example 10% every five years, or 2% to 3% a year) or CPI-linked escalations. A lease with steady bumps supports a lower going-in cap rate because NOI grows without leasing work.

### The real estate

If the tenant leaves, you own a building, a site and a location. Ask what the market rent would be for a replacement tenant, how specialized the building is, and whether the land supports another use. In Texas, a well-located industrial building or a hard-corner retail pad usually re-leases faster than a purpose-built single-use box.

## Where net-lease cap rates stand in 2026

According to [The Boulder Group's Q3 2026 Net Lease Research Report](https://www.bouldergroup.com/blog/single-tenant-net-lease-cap-rates-rise-in-q3-2026/) (released October 7, 2026), national single-tenant asking cap rates rose for a second straight quarter, compared with the [Q2 2026 report](https://www.bouldergroup.com/blog/single-tenant-net-lease-report-for-q2-2026/):

| Sector (national asking) | Q2 2026 | Q3 2026 |
| --- | --- | --- |
| All single-tenant net lease | 6.82% | 6.92% |
| Retail | 6.60% | 6.69% |
| Industrial | 7.25% | 7.28% |
| Office | 7.90% | 8.00% |

Boulder Group also reported that the 10-year Treasury climbed above 5.00% by the end of September and that permanent financing costs now generally exceed net-lease cap rates. In plain terms, most leveraged buyers face negative leverage today, which is one reason all-cash and low-leverage 1031 buyers are competing hardest for long-term credit tenants.

These are national asking figures, not Texas closed sales. A specific deal can price well inside or outside these averages depending on credit, term and location. For the math behind cap rates, see [how cap rates set commercial property value](https://www.roesingercre.com/resources/cap-rate-commercial-property-value?hsLang=en).

## Why 1031 buyers like net lease

- **Deadline fit.** The 1031 rules generally give you 45 days to identify replacement property and 180 days to close. Net-lease product is plentiful and standardized, which makes it easier to identify backups.
- **Management relief.** Sellers trading out of multi-tenant flex, apartments or land often want an asset that does not call them at night.
- **Debt and value matching.** To defer all gain, you generally need to buy equal or greater value and replace the debt you paid off. Net-lease deals come in many price points, which makes matching easier.
- **Predictable income.** A signed lease with known bumps makes cash flow easy to model.

Exchange rules are technical. Read our [1031 exchange guide for Texas commercial property](https://www.roesingercre.com/resources/1031-exchange-commercial-property-texas?hsLang=en) and work with a qualified intermediary and a CPA before you sell.

## Worked example: what a cap rate move does to value

Suppose a 1031 buyer pays $3,000,000 for a single-tenant industrial building at a 6.50% cap rate. Year-one NOI is $3,000,000 x 6.50% = $195,000. The lease has 10% rent increases every five years, so NOI in year 11 (after two bumps) is $195,000 x 1.10 x 1.10 = $235,950.

- If the exit cap rate stays at 6.50%: $235,950 / 0.0650 = about $3,630,000.
- If the exit cap rate rises to 7.25%: $235,950 / 0.0725 = about $3,254,000.

A 75 bps move in the exit cap rate costs roughly $376,000 of value, even though rent grew 21%. Now shorten the lease: if only two years remain at sale, buyers will price in vacancy risk and the exit cap rate can move further. For contrast, a multi-tenant asset like a 50,000 SF South Austin flex building at $7,500,000 and $487,500 NOI is also a 6.50% cap, but it carries leasing work in exchange for mark-to-market upside on many shorter leases.

## Risks to underwrite

- **Dark store risk.** A tenant can close a location and keep paying rent. Your income holds, but the property becomes harder to sell or refinance, and the clock on re-leasing starts early.
- **Rollover.** At expiration the tenant may leave or negotiate lower rent. Budget downtime, leasing commissions and tenant improvements for a replacement.
- **Cap rate expansion.** When interest rates or risk premiums rise, cap rates can rise and values fall, as the example above shows.
- **Credit events.** A bankruptcy can let a tenant reject the lease. Check the tenant's financials, not just its brand.
- **Concentration.** One tenant means one point of failure. Some exchange buyers split proceeds across two or three properties.

## Net-lease buyer checklist

1. Read the full lease and all amendments. Confirm who pays roof, structure, parking and HVAC replacement.
2. Identify the guarantor and review its financials or credit rating.
3. Count the remaining term and any tenant early-termination or co-tenancy rights.
4. Map rent bumps and options; note whether option rents are fixed or at market.
5. Estimate market rent for a replacement tenant and the cost to re-tenant.
6. Check rights of first refusal or purchase options held by the tenant.
7. Get a property condition report, environmental Phase I, title and survey.
8. Get tenant estoppels and a subordination, non-disturbance and attornment agreement if you will finance.
9. Line up 1031 timing with your qualified intermediary and CPA before you list your relinquished property.

## Frequently asked questions

### Is a NNN property a good 1031 exchange replacement?

It often is, because net-lease product is easy to identify within the 45-day window and needs little management. Whether it is good for you depends on the tenant's credit, the remaining lease term and the price relative to the real estate.

### What is the difference between NNN and absolute net?

In a typical NNN lease the tenant pays taxes, insurance and maintenance, while the landlord may still be responsible for roof or structure. In an absolute net lease the tenant generally covers everything, including major capital items.

### What cap rate should I expect on a net-lease property?

The Boulder Group reported national single-tenant asking cap rates averaging 6.92% in Q3 2026, with retail at 6.69% and industrial at 7.28%. Individual deals vary widely with credit, term and location.

### What happens when a net-lease tenant goes dark?

If the tenant closes but keeps paying, your income continues, but resale and refinancing get harder. If the tenant stops paying or rejects the lease in bankruptcy, you need to re-lease the space and should budget for downtime and re-tenanting costs.

This guide is general information, not legal, tax, or investment advice. Cap rates cited are national asking averages from third-party research as of Q3 2026 and will change; confirm current pricing and 1031 rules with your qualified intermediary, CPA and attorney.
